1. Agreement
The Gengency Swarm License (“License”) is an agreement between you and Gengency (“Gengency”, “we”, “us”). It applies when you join Gengency Swarm (“Swarm”) and on top of our Terms of Service and Privacy Policy. If this License and the Terms disagree about Swarm, this License wins. You accept it by tapping “I accept” when you join, or when we ask you to accept a new version. You must be at least 18 to join Swarm.
2. Definitions
- Characters and Universes: the original characters and worlds Gengency publishes on Swarm, including their names, looks, voices, personalities, catchphrases and any trademarks.
- Lore: everything that tells the story of a Character or Universe — backstory, relationships, events, places, rules of the world — whether written by Gengency or added by the swarm.
- Gengency Materials: Characters, Universes, Lore, character sheets, reference kits, bibles, canon rules and anything else we provide for you to create with.
- Your Content: videos, images, audio and posts you make with Gengency Materials.
- Contributions: anything you add to a Character or Universe — new lore, story beats, names, places, side characters, designs, catchphrases — whether it appears in Your Content, a lore proposal or anywhere else.
- Rewards: funded campaigns on Swarm with a fixed pool and a fixed time window, split between eligible posts by views.
- Sponsorship: any paid partnership, brand integration, product placement, affiliate deal, gifted-product deal or other paid promotion that features a Character or Universe.
3. What you can do
Gengency grants you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free and revocable license to use Gengency Materials to create Your Content and to publish it on social media accounts you own or control (such as TikTok, Instagram, YouTube and X), and to show it in your portfolio. You may use AI tools to create Your Content, including feeding them our reference kits, as long as the result follows this License.
You may expand a Character’s story and world in Your Content, as long as you respect its canon (section 9). Fan-made story is welcome; presenting it as official canon is not, unless we’ve made it canon.
4. Money you keep
You may earn money from Your Content in these ways, without paying Gengency anything:
- the platform’s own revenue sharing on your posts (ad revenue share, creator funds, bonuses, tips, gifts and subscriptions paid by the platform or your audience on that platform);
- Swarm Rewards (section 11).
5. Sponsorships (70%/30%)
Gengency is the agency for its Characters. Any Sponsorship needs our prior written approval and must be negotiated and contracted by Gengency — don’t accept, negotiate or sign one yourself. If a brand contacts you, send the offer to support@gengency.app and we’ll take it from there.
When an approved Sponsorship runs on your own social accounts, Gengency pays you 70% of what the sponsor actually pays for it, after taxes, refunds and payment fees, and keeps 30% as its agency fee — unless we agree a different split in writing for that deal. We pay you within 30 days of receiving the sponsor’s payment.
Sponsorships that don’t feature any Character or Universe are your own business and are not affected by this License.
6. What Gengency keeps
Every use of Gengency Materials not granted in section 3 is reserved to Gengency. In particular, only Gengency may exploit Characters, Universes and Lore in merchandise and physical products, film, TV and streaming, games, books and comics, music releases, digital collectibles and NFTs, live events, licensing to third parties, advertising outside your own social accounts, and trademarks, domain names or app names. Gengency may also create with its Characters itself and run official accounts for them.
7. Ownership and contributions
Gengency owns Gengency Materials. As between you and Gengency, Gengency also owns Contributions: you assign to Gengency, as soon as each Contribution is created, all rights you have in it, worldwide and for the full term of those rights. Where an assignment isn’t possible under the law that applies to you, you instead grant Gengency an exclusive, perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable license to use, adapt and exploit the Contribution in any way, and you agree not to assert moral rights against Gengency or its licensees to the extent the law allows.
That means the expanded universe stays with the Character: Gengency can make your Contribution canon, build on it and use it commercially, including in the reserved uses of section 6. We aren’t required to use any Contribution. When we make a community Contribution canon, we try to credit its author on the Character’s page.
Don’t contribute anything you don’t have the right to give us (for example, someone else’s character or copyrighted work).
8. Your videos
Apart from the Gengency Materials and Contributions in it, you keep ownership of Your Content. You grant Gengency a worldwide, non-exclusive, royalty-free, perpetual and irrevocable license to reproduce, display, distribute, adapt (for example cut, crop, subtitle or compile) and publish Your Content that features a Character or Universe, in any media, including on Gengency’s and the Character’s official channels, on Swarm and in Gengency’s marketing. We’ll credit you where practical. We won’t sell Your Content as a standalone product without your permission.
9. Canon and content rules
Each Character’s page lists its canon rules. Follow them. In addition, Your Content must not:
- be sexual or sexually suggestive, or show any Character as a minor in a sexual or exploitative context;
- contain hate speech, harassment, bullying, threats, graphic violence or gore, or promote self-harm;
- involve real-world politics, elections, religion-bashing, or real people in a way they haven’t agreed to;
- promote real brands, products, gambling, crypto schemes or anything else commercial, unless it’s an approved Sponsorship;
- be illegal, defamatory, deceptive or spread misinformation, or infringe anyone’s rights;
- present your account as an official account of a Character or of Gengency, or claim to speak for Gengency. Accounts dedicated to a Character must clearly say they’re fan accounts.
You may not register or use a Character’s name or likeness as a trademark, logo, domain, app name or brand of your own, or sell or share our reference kits outside of making Your Content.
10. Disclosure and AI labels
Label Your Content as AI-generated wherever the platform or the law asks you to. Posts you enter into a Reward, or that are part of a Sponsorship, are made with a material connection to Gengency: add the disclosure required where you and your audience live (for example #ad, #sponsored or the platform’s paid-partnership label). A Reward’s required hashtags don’t replace that disclosure.
11. Swarm Rewards
- To enter a Reward, post a video on one of your social accounts verified on Swarm, during the Reward’s window, and submit its link before the Reward ends. Each Reward page shows its pool, window, platforms, rules, per-creator cap, minimum views per post and the number of posts you can enter.
- We track views from the platforms’ public data. Views are frozen when the Reward ends. After a review period, the pool is split between approved posts pro rata by their counted views, within the per-creator cap. Part of the pool can stay unpaid when every creator hits the cap. Our tracked numbers are final for payout purposes, except for obvious errors.
- We review posts and may reject any post that breaks this License, the Reward’s rules or the platform’s rules, that isn’t yours, that was deleted or made private, or whose views look artificial (bought views, bots, view-for-view schemes). Rejections can come with a strike; repeated strikes suspend your Swarm access.
- We may change a Reward’s text, extend its window or raise its pool at any time, and cancel a Reward before it’s paid out for a serious reason (such as fraud, a legal issue or a problem with the Character). A cancelled Reward pays nothing.
12. Payouts and taxes
Reward earnings are credited to your Swarm balance (“bag”) in US dollars. You can cash out to a bank account through Stripe (Stripe’s terms apply and Stripe may ask you to verify your identity), or convert your balance into Gengency tokens at the rate and bonus shown in the app. Tokens follow our Terms of Service and can’t be turned back into money. There may be a minimum cash-out amount. We may hold or reverse amounts tied to posts that turn out to break this License.
You’re responsible for your own taxes and for giving accurate information to us and to Stripe. If you delete your Gengency account, any balance you haven’t cashed out is forfeited.
13. Suspension and termination
You can leave Swarm at any time by deleting your account. We may suspend or end your participation in Swarm or this License if you break it, if your use creates legal or reputational risk, or if we stop offering Swarm or a Character. When the License ends, stop creating new Content with Gengency Materials. Content you already posted in line with this License may stay up, unless we ask you to take down specific posts that break it or for a legal reason. Sections 5 to 8, 12 (for amounts already earned) and 14 survive.
14. General
You’re an independent creator: this License doesn’t make you an employee, partner or agent of Gengency, and it isn’t exclusive — you can work with others, as long as you respect sections 5 to 9. You’re responsible for Your Content and agree to indemnify Gengency against claims caused by it or by your breach of this License, to the extent the law allows. Gengency Materials are provided “as is”. The disclaimers, limitation of liability, governing law and dispute sections of our Terms of Service apply to this License too.
15. Changes
We may update this License. The version date is shown at the top of this page. When we publish a new version, you’ll be asked to accept it before you can enter new posts; posts already submitted keep the version that applied when you submitted them.
